Deep Agents

Terms of Service

Last updated: October 7, 2026

These Terms of Service (the “Terms”) govern your access to and use of Deep Agents, including the website, the interface for creating and trading AI agent tokens, and related features (together, the “Service”). The Service is operated by Deep Labs (“Deep Labs”, “we”, “us”).

1. Acceptance of Terms

By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

If you use the Service on behalf of an organization, you confirm that you are authorized to accept these Terms for it.

2. Eligibility

You must be at least 18 years old, or the age of legal majority where you live if that is higher, and able to form a binding agreement.

You may not use the Service if you are subject to sanctions, or if using it would violate the laws that apply to you. You are responsible for knowing and following those laws.

3. Service Description

Deep Agents is a non-custodial software interface for launching and trading AI agent tokens on Robinhood Chain. Each agent token is paired with a market asset, such as a tokenized stock, ETH or USDG.

The Service prepares, checks and simulates transactions for you to review. It is an interface to public blockchain networks and to smart contracts that Deep Labs does not own or control, including the Pons launch and bonding-curve contracts and, after a token graduates, Uniswap contracts.

Deep Labs is not a broker, exchange, custodian, investment adviser or financial institution. The Service does not execute, sign or submit transactions on your behalf and does not hold your assets.

Some features may be limited, in development or unavailable at any given time. Quotes and simulations reflect blockchain state at the time they were made and are not guarantees of any outcome.

4. Wallets and User Responsibility

The Service has no accounts or sign-in. You use it by connecting your own blockchain wallet, such as MetaMask or another wallet that works with Robinhood Chain.

The Service is non-custodial. Deep Labs does not hold, receive or have access to your private keys, seed phrase or assets, and cannot move funds from your wallet. Deep Agents never asks for your seed phrase or private keys.

Connecting a wallet shares its public address with the Service. Every launch, approval and trade is a transaction that your wallet shows you and that you confirm, sign and submit with your wallet. Deep Labs never signs or submits a transaction for you.

You are responsible for your wallet, devices and keys, for checking each transaction in your wallet before you confirm it, and for every action taken with them. Deep Labs cannot recover lost keys or reverse an action you approve.

5. Agent Tokens and Digital Asset Risks

Agent tokens are experimental digital assets. Their value can fall to zero and you can lose all of the funds you use.

  • Agent tokens are not shares, securities or claims on any company, and holding one does not give ownership of, or rights in, any stock or other asset it is paired with.
  • An agent token is not issued, sponsored or endorsed by any company whose stock it is paired with.
  • Prices can be volatile and liquidity can be very limited or unavailable. Nothing in the Service guarantees a token’s value, liquidity, price or any profit.
  • Smart contracts and blockchain networks, including the third-party contracts the Service interacts with, can contain errors, be exploited, be changed by their operators or stop working as expected.
  • Laws and regulations that apply to digital assets may change and may affect the Service or your tokens.

6. Trading and Blockchain Transactions

Launches, approvals and trades are blockchain transactions that you review in the Service, then confirm, sign and submit with your own wallet. Your wallet, not Deep Labs, sends them to the network.

Blockchain transactions are irreversible. Once confirmed on-chain, a transaction cannot be cancelled, reversed or refunded by Deep Labs or anyone else.

Outcomes depend on market movements, network conditions, your slippage setting and smart contract behaviour. The amount you receive may differ from the quote shown before you confirm, within the minimum your slippage setting allows; a transaction may also fail and still cost network fees.

Approvals the Service asks you to sign are for the exact amount of the transaction you are reviewing, not unlimited.

A launch’s predicted token address, including any “0xdeee” address style, is best effort: the address that counts is the one the Pons factory records in the confirmed transaction.

7. Fees and Network Costs

A creator may set an Agent Fee of up to 10% when launching an agent. It applies to eligible buys and sells of that agent token, is paid to the fee recipient set at launch (by default, the launching wallet), and is fixed at launch.

Blockchain transactions require network fees (gas), which your wallet pays to the network, not to Deep Labs, in addition to any amount you trade.

The smart contracts the Service interacts with apply their own fees, such as the Pons launch fee and curve or pool fees. The Service shows the fees it can read from those contracts before you confirm.

8. No Investment Advice

Nothing in the Service is investment, financial, legal or tax advice, or a recommendation to buy, sell or hold any asset. Agent names, descriptions and performance data are not advice. Make your own decisions and seek independent professional advice where appropriate.

9. User Content and Agent Information

When you launch an agent you provide information such as its name, ticker, image, X profile and website. You are responsible for that content and confirm that you have the right to use it.

When you prepare a launch, your image is uploaded to IPFS through Pinata. It is public from that moment, even if you never launch, and cannot be withdrawn by Deep Labs.

Launch information becomes part of the token’s public metadata on Robinhood Chain and cannot be edited or removed once published. Do not include personal or confidential information.

You may not use names, logos or other marks in a way that suggests an affiliation with, or endorsement by, a company, person or project that has not given it.

10. Prohibited Uses

You agree not to:

  • break any law or regulation, including sanctions and anti-money-laundering laws;
  • manipulate markets, including wash trading, spoofing or coordinated pump-and-dump activity;
  • impersonate any person, company or project, or launch misleading or fraudulent agents;
  • infringe intellectual property or other rights of others;
  • interfere with, overload or attack the Service, its infrastructure or other users;
  • access the Service through automated means in a way that disrupts it, or bypass its security controls.

11. Third-Party Services and Robinhood Chain

The Service relies on third parties, including Robinhood Chain, the Pons and Uniswap smart contracts, blockchain infrastructure (RPC) providers, IPFS storage through Pinata, and wallet software such as MetaMask. Deep Labs does not operate or control these services and is not responsible for their availability, security or conduct.

Your use of a third-party service is subject to that provider’s own terms and policies.

12. Intellectual Property

The Service, including its software, design and the Deep Agents name and logo, is owned by Deep Labs or its licensors. You may use the Service for its intended purpose, but you may not copy, modify or redistribute it, or use Deep Agents branding, without permission.

13. Service Availability and Changes

We may change, suspend or discontinue any part of the Service at any time, including features, supported pairs and networks. We do not guarantee that the Service will be available, uninterrupted or error-free.

14. Disclaimers

The Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement, to the fullest extent permitted by law.

15. Limitation of Liability

To the fullest extent permitted by law, Deep Labs and its contributors will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of funds, digital assets, profits or data, arising from or related to your use of the Service, blockchain networks, smart contracts or third-party services.

Some jurisdictions do not allow certain limitations, so some of them may not apply to you.

16. Indemnification

You agree to indemnify and hold Deep Labs harmless from claims, losses and expenses, including reasonable legal fees, arising from your use of the Service, the content you provide, or your breach of these Terms or of any law.

17. Suspension and Termination

We may suspend or end your access to the Service, or to some of its features, if we reasonably believe you have breached these Terms, created risk for others, or where required by law. Actions already recorded on a blockchain, and assets held in your own wallet, are not affected.

You may stop using the Service at any time.

18. Changes to These Terms

We may update these Terms from time to time. The “Last updated” date above shows when they last changed. Continuing to use the Service after an update means you accept the updated Terms.
